Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Prvt platform (the "Service"), including our website, applications, and related services (collectively, "Prvt," "we," "us," or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service is offered in early access and may be incomplete, contain bugs, and change frequently. We may modify, suspend, or discontinue features at any time, and we may impose limits (including trading limits, asset availability, and jurisdiction restrictions).

You may use the Service only if you are at least 18 years old (or the age of majority where you live), can legally enter into these Terms, and are not prohibited from using the Service under applicable laws.

You agree to provide accurate, complete information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

To access trading and related features, you may be required to complete identity verification ("KYC"). We use third-party providers (for example, Persona) to help verify identity and perform screening.

You authorize us and our providers to collect, use, and process information needed to verify your identity, perform fraud prevention checks, and conduct sanctions/PEP screening and other compliance checks as required by law or policy.

The Service may allow you to place orders to buy and sell shares (or share-like interests) using your funds, including USDT where supported.

You acknowledge that order execution may not be immediate, execution price may differ from any displayed indicative price, and orders may be partially filled, rejected, canceled, delayed, or reversed where required (for example, suspected error, compliance, risk controls, or technical issues).

We may charge fees (including trading fees, spreads, deposit/withdrawal fees, network fees, custody/processing fees, or other fees). Applicable fees will be disclosed in the Service prior to confirming a transaction or through fee schedules referenced in the Service.

If you use USDT or other digital assets, you understand that blockchain transactions can be irreversible. Network congestion, chain instability, provider outages, or protocol issues can delay or prevent transfers.

Stablecoins (including USDT) may be subject to depegging, issuer risk, regulatory actions, freezing/blacklisting, or other events outside our control. You are responsible for using supported networks and addresses.

Content in the Service (including prices, valuations, charts, announcements, and analytics) is for informational purposes only and may be delayed, inaccurate, incomplete, or unavailable.

Nothing in the Service constitutes investment, legal, tax, or accounting advice, and nothing is a recommendation or solicitation to buy or sell. You are solely responsible for your decisions.

Trading involves significant risk, including the risk of losing some or all of your funds. Past performance is not indicative of future results. You should only trade if you understand the risks and can bear potential losses.

You agree not to:

• violate laws or regulations;
• engage in fraud, market manipulation, wash trading, or abusive trading practices;
• attempt unauthorized access, probe/scan/test vulnerabilities, or bypass controls;
• reverse engineer, decompile, or attempt to extract source code except as permitted by law;
• scrape or harvest data at scale without our written permission; or
• interfere with or disrupt the Service.

The Service may integrate with or rely on third-party services (for example, identity verification such as Persona, infrastructure providers, analytics, custody/wallet providers, and payment rails). Third-party services are governed by their own terms and policies. We do not control and are not responsible for third-party services.

We will provide a Privacy Policy describing how we collect and use personal data. Until a standalone Privacy Policy is published, you acknowledge that use of the Service requires processing personal information for account creation, compliance, fraud prevention, and providing the Service, including sharing information with service providers such as KYC vendors.

We and our licensors own the Service, including software, design, branding, and content (excluding user content, if any). We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose.

You may stop using the Service at any time. We may suspend or terminate your access if we believe you violated these Terms, your activity is suspicious or unauthorized, or we must do so to comply with law or reduce risk.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted, timely, secure, or error-free operation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100.

You agree to indemnify and hold harmless Prvt and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any law or third-party right.

We may update these Terms from time to time. We will update the "Last updated" date at the top of this page. Continued use of the Service after changes become effective constitutes acceptance.

These Terms are governed by the laws of the jurisdiction where our company is incorporated and primarily operates, excluding conflict-of-law principles. Venue will be the courts located in that jurisdiction, unless applicable law requires otherwise.
