Terms of Use

PRVT Market is operated by PRVT MARKET LTD, a company in the process of incorporation under the ADGM Companies Regulations, Abu Dhabi Global Market, United Arab Emirates. PRVT Market operates an online platform (the "Platform") that provides retail investors with access to information and, where permitted, transactions in private market securities.

These Terms of Use ("Terms") govern your access to and use of the Platform, including any content, features, and services offered through it.

By using the Platform you represent and warrant that you:

• are at least 18 years of age;
• have the legal capacity to enter into a binding agreement;
• are not located in, or a citizen or resident of, any country subject to applicable international sanctions or export controls; and
• are not subject to any other restriction that would prevent you from lawfully using the Platform.

PRVT Market reserves the right to refuse access to any person who does not meet these eligibility requirements.

To access certain features of the Platform you must register for an account. You agree to:

• provide accurate, current, and complete information during registration;
• maintain the security and confidentiality of your login credentials;
• notify us immediately at legal@prvtmarket.com if you suspect any unauthorised access to your account; and
• accept responsibility for all activity that occurs under your account.

PRVT Market reserves the right to suspend or terminate accounts that are found to contain inaccurate information or that are used in violation of these Terms.

4.1 Permitted Use

Subject to these Terms, PRVT Market grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own personal, non-commercial purposes in connection with evaluating or executing transactions in private market securities.

4.2 Prohibited Conduct

You must not:

• use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
• attempt to gain unauthorised access to any part of the Platform or its related systems;
• transmit any viruses, malicious code, or other harmful content;
• use automated means (bots, scrapers, crawlers) to access or extract data from the Platform;
• misrepresent your identity or affiliation with any person or entity;
• interfere with or disrupt the integrity or performance of the Platform;
• reproduce, distribute, modify, or create derivative works based on the Platform without our express written consent; or
• engage in any conduct that could harm PRVT Market's reputation or business.

Private market securities are complex financial instruments. Investing in them involves significant risks, including:

• Illiquidity — private securities are not traded on public exchanges and may be difficult or impossible to sell.
• Loss of capital — you may lose some or all of your investment.
• Valuation uncertainty — private company valuations are inherently uncertain and may not reflect true market value.
• Regulatory risk — the regulatory environment for private market securities is evolving and may change.

You should seek independent financial and legal advice before making any investment decision through the Platform. Past performance is not a reliable indicator of future results.

PRVT MARKET LTD is in the process of obtaining the necessary regulatory authorisations from the Financial Services Regulatory Authority (FSRA) of the Abu Dhabi Global Market. Until such authorisations are obtained, the Platform operates in a pre-launch or beta capacity and no regulated financial services are offered.

Users will be notified when PRVT Market is fully authorised to offer regulated financial services, at which point updated terms and disclosures will apply.

All content, trademarks, logos, software, and other intellectual property on the Platform are owned by or licensed to PRVT MARKET LTD. Nothing in these Terms grants you any rights in such intellectual property other than the limited access licence described in Section 4.1.

If you submit any content, feedback, or suggestions to PRVT Market, you grant us a perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such content into the Platform or our services.

The Platform may contain links to third-party websites or services. These are provided for convenience only. PRVT Market does not endorse, control, or accept responsibility for the content, privacy practices, or terms of any third-party website or service.

Your use of third-party websites or services is at your own risk and subject to the applicable third-party terms.

THE PLATFORM AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

PRVT MARKET LTD does not warrant that:

• the Platform will be uninterrupted, error-free, or secure;
• any information on the Platform is accurate, complete, or up to date; or
• any defects in the Platform will be corrected.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRVT MARKET LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

Our aggregate liability to you for any claims arising out of or related to these Terms or your use of the Platform will not exceed the greater of: (a) the amount you paid to PRVT Market in the twelve months preceding the claim, or (b) USD 100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If such laws apply to you, the above limitations may not apply in full.

You agree to indemnify, defend, and hold harmless PRVT MARKET LTD and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your use of or access to the Platform;
• your violation of these Terms;
• your violation of any applicable law or regulation; or
• any content you submit to the Platform.

PRVT Market may suspend or terminate your access to the Platform at any time, with or without notice, for any reason including breach of these Terms. You may terminate your account at any time by contacting us at legal@prvtmarket.com.

Upon termination, all licences granted to you under these Terms will immediately cease. Sections 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) will survive termination.

These Terms are governed by and construed in accordance with the laws of the Abu Dhabi Global Market (ADGM), United Arab Emirates. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the ADGM Courts.

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@prvtmarket.com and allowing us 30 days to respond.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the Platform before the effective date.

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

These Terms, together with our Privacy Policy and any other agreements you enter into with PRVT Market, constitute the entire agreement between you and PRVT MARKET LTD with respect to the Platform and supersede all prior agreements, representations, and understandings.
